Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using Lead3r (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users, including free and paid subscribers, and cover both the web application and Chrome extension.

2. Service Description

Lead3r is a lead generation platform that allows users to:

• Extract publicly available information from e-commerce platforms (currently Etsy)
• Enrich lead data with AI-generated scores and outreach messages
• Organize leads into projects with custom criteria
• Export lead data for use in external systems

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Eligibility

You must be at least 13 years old to use Lead3r. By using the Service, you represent and warrant that:

• You are at least 13 years of age
• You have the legal capacity to enter into a binding contract
• You will use the Service in compliance with all applicable laws
• All information you provide is accurate and current

4. Account Registration and Security

4.1 Account Creation

To use Lead3r, you must create an account by providing a valid email address and password, or by using Google OAuth. By creating an account, you represent and warrant that:

• All information you provide is accurate, current, and complete
• You will maintain and update your information to keep it accurate
• You are legally capable of entering into binding contracts
• You will not create more than one account (no multiple or duplicate accounts)
• You have not been previously suspended or banned from the Service

You are solely responsible for:

• Maintaining the strict confidentiality of your password and account credentials
• All activities, transactions, and charges that occur under your account
• Notifying us immediately at support@lead3r.net of any unauthorized access or security breach
• Ensuring your account is not accessed by minors under 13 years of age

4.2 API Keys

You may generate API keys for use with the Chrome extension. You acknowledge and agree that:

• API keys are equivalent to passwords and must be kept strictly confidential
• You must never share, sell, or transfer API keys to any third party
• You must immediately revoke any compromised or potentially compromised keys
• You are solely liable for all usage and charges resulting from your API keys
• We may revoke API keys at our discretion for suspected abuse or security reasons

4.3 Account Termination

We reserve the right, in our sole discretion, to immediately suspend, disable, or terminate your account and access to the Service, without prior notice or liability, for any reason, including but not limited to:

• Any violation of these Terms or our policies
• Fraudulent, abusive, or illegal activity
• Non-payment of fees or chargebacks
• Sending spam or engaging in harassment
• Multiple accounts or sharing credentials
• Exceeding rate limits or abusing the Service
• Violation of third-party platform terms (Etsy, etc.)
• Legal requirements or court orders
• Upon your written request

Important: Upon termination, your right to use the Service immediately ceases. We may, but are not obligated to, retain your data for a period of 30 days. After 30 days, all data may be permanently deleted. No refunds will be provided for accounts terminated due to violations of these Terms.

5. Acceptable Use Policy

5.1 Permitted Use

You may use Lead3r solely to:

• Extract publicly available information from supported e-commerce platforms
• Enrich and organize leads for your own legitimate business purposes
• Export data for use in your own CRM or business systems

You acknowledge that you are solely responsible for ensuring your use of extracted data complies with all applicable laws, including anti-spam laws (CASL, CAN-SPAM, GDPR), privacy laws, and platform terms of service.

5.2 Prohibited Use

The following uses are STRICTLY PROHIBITED and will result in immediate account termination without refund:

• ❌ Violating any laws, regulations, or third-party rights
• ❌ Infringing on intellectual property, trademark, copyright, or privacy rights
• ❌ Sending spam, unsolicited commercial messages, or engaging in harassment
• ❌ Circumventing or attempting to bypass usage quotas, billing systems, or security measures
• ❌ Sharing your account credentials, API keys, or access with any third party
• ❌ Reverse engineering, decompiling, disassembling, or attempting to derive source code
• ❌ Using bots, scrapers, or automated tools (except our official extension)
• ❌ Extracting private, non-public, or protected information
• ❌ Reselling, sublicensing, or redistributing the Service or data to third parties
• ❌ Using the Service to harm, threaten, defame, or harass any person or entity
• ❌ Attempting to access accounts or data belonging to other users
• ❌ Uploading viruses, malware, or any malicious code
• ❌ Interfering with or disrupting the Service or servers
• ❌ Creating multiple accounts to evade restrictions or quotas
• ❌ Using the Service for any illegal, unethical, or fraudulent purpose

⚠️ IMPORTANT: You are responsible for how you contact and communicate with extracted leads. Lead3r provides data extraction tools only. We are not responsible for your outreach methods, compliance with anti-spam laws, or any complaints arising from your communications.

6. Pricing and Payments

6.1 Subscription Plans

Lead3r offers multiple subscription tiers:

• Free: 10 leads per month
• Starter: 250 leads per month - $19/month
• Pro: 1,000 leads per month - $39/month
• Agency: 3,000 leads per month - $89/month

Pricing is subject to change with 30 days notice to existing subscribers.

6.2 Billing

• Subscriptions are billed monthly in advance
• Payments are processed by Stripe
• All fees are in USD
• Refunds are provided on a case-by-case basis (contact support@lead3r.net)

6.3 Overage Billing

Paid plans may enable optional overage billing:

• Overages are disabled by default (opt-in required)
• You set a maximum overage limit to control costs
• Overage rates: Starter $0.04/lead, Pro $0.03/lead, Agency $0.025/lead
• Overage charges are billed with your next monthly invoice

6.4 Free Trial

Free accounts include 10 leads per month with no credit card required. No automatic upgrades occur.

6.5 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You retain access until the end of your billing period
• No refunds for partial months
• Your leads and data remain accessible (read-only)
• You can resubscribe at any time

7. Usage Limits and Quotas

Your monthly lead quota resets on the date you created your account (billing anniversary). Unused leads do not roll over to the next month.

We reserve the right to:

• Enforce reasonable rate limits to prevent abuse
• Suspend accounts that exceed quotas without proper billing
• Modify quotas with reasonable notice

8. Intellectual Property

8.1 Our Rights

Lead3r, including all software, designs, text, graphics, and trademarks, is owned by us and protected by copyright, trademark, and other intellectual property laws.

8.2 Your Data

You retain all rights to the lead data you extract and any original content you create. By using Lead3r, you grant us a limited license to:

• Store and process your data to provide the Service
• Generate AI enrichments based on your data
• Create anonymized analytics for service improvement

8.3 Third-Party Content

You are responsible for ensuring you have the right to use any data you extract. We are not responsible for any copyright or trademark infringement claims arising from your use of the Service.

9. Privacy

Your use of Lead3r is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, completeness, or reliability of data
• Warranties that the Service will be uninterrupted, secure, or error-free

AI-generated content (lead scores, outreach messages) is provided for informational purposes only and should be reviewed before use. We are not responsible for the accuracy or effectiveness of AI-generated content.

11. Limitation of Liability

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEAD3R, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA
• ANY CLAIMS ARISING FROM YOUR USE OF THIRD-PARTY PLATFORMS (ETSY, ETC.)
• ANY CLAIMS ARISING FROM AI-GENERATED CONTENT OR LEAD SCORES
• ANY CLAIMS ARISING FROM YOUR VIOLATION OF THIRD-PARTY TERMS OR LAWS

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 CAD.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UPON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Lead3r, its parent companies, subsidiaries, affiliates, and their respective officers, directors, employees, agents, contractors, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees and costs) arising from:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any applicable laws, regulations, or third-party rights
• Any data you extract, how you use it, or how you contact extracted leads
• Your violation of any third-party platform's terms of service (Etsy, Shopify, etc.)
• Any claims that your use of the Service infringes upon or violates any third-party rights
• Any negligent or willful misconduct by you
• Any misrepresentation made by you

This indemnification obligation will survive the termination of your account and these Terms.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Canada and the Province of Ontario, without regard to conflict of law principles. You agree that any legal action or proceeding shall be brought exclusively in the courts of Ontario, Canada, and you consent to the jurisdiction of such courts.

13.2 Informal Resolution

Before filing any legal claim, you agree to first contact us at support@lead3r.net and attempt to resolve the dispute informally for a period of at least 30 days. This informal resolution process is a mandatory prerequisite to any formal legal action.

13.3 Binding Arbitration

If informal resolution fails, any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the ADR Institute of Canada, Inc. under its Arbitration Rules. The arbitration shall be conducted in English in Toronto, Ontario. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS.

13.4 Class Action Waiver

IMPORTANT: CLASS ACTION WAIVER

You expressly waive any right to bring or participate in a class action, collective action, private attorney general action, or any other representative proceeding against Lead3r. All disputes must be brought in your individual capacity only. This waiver is enforceable even if the arbitration agreement is found unenforceable.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Emailing you at least 30 days before changes take effect

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lead3r.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
